THE UNITED STATES VIRGIN ISLANDS OFFICE OF THE GOVERNOR GOVERNMENT HOUSE Charlotte Amalie, V.1. 00802 340-774-0001 MEMORANDUM OF UNDERSTANDING (MOU) BETWEEN VIRGIN ISLANDS NEXT GENERATION NETWORK (VINGN) AND DEPARTMENTS OF THE VIRGIN ISLANDS GOVERNMENT, ET AL., REGARDING WIRELESS NETWORK EXPANSION AND SUPPORTING EVERY VIRGIN ISLANDS STUDENT WITH HIGH BANDWIDTH (THE WIRELESS EXPANSION PROJECT) 2022 This Memorandum of Understanding (MOU) is made and entered into on ___________________, 2022 between the v1NGN, INC. dba the Virgin Islands Next Generation Network (viNGN) and the Government of the Virgin Islands (GVI) acting through the Department of Property and Procurement (DPP) on behalf of the Virgin Islands Department of Education (VEDE) the Virgin Islands Department of Planning and Natural Resources (DPNR), the Virgin Islands Department of Sports, Parks and Recreation (SPR), the Virgin Islands Department of Health (DOH), the Virgin Islands Department of Agriculture (VIDA) (collectively these agencies as “Departments”) and the Virgin Islands Housing Authority (VIHA), the Virgin Islands Housing Finance Authority (VIHFA), the University of the Virgin Islands (UVI), the Government Employees Retirement System (GERS) and the Virgin Islands Port Authority (VIPA) (collectively all as the “Parties”). WHEREAS, it is the goal of the Bryan/Roach Administration and the Departments, to provide free high-speed wireless internet connection (“Wi-Fi”) in the Virgin Islands, installation of Wi-Fi networks through the Division of Libraries of DPNR, provide free Wi-Fi to students in low-income housing areas, and allow students to connect to a specific Wi-Fi signal that provides high speed access to VIDE’s headquarters and servers; and WHEREAS, it is the goal of the Administration, and the Parties, to work together to guarantee that all students have high speed access to their schools through viNGN’s public wireless access points, including during periods of virtual learning; and WHEREAS, virtual learning has been used as the medium to deliver education to students in the Virgin Islands at various times, including during the COVID-19 State of Emergency, to maintain the health and safety of students; and virtual learning continues to be an important component of progressive education in the Territory; and wireless access, Wi-Fi expansion, and bandwidth is needed to facilitate providing education and services to students and the community by virtual means; S September 7, General Contract No. G079OOGT22 IOU - Regarding Wireless Network Ecpansion and Supporting Eveiy Virgin Island Student with High Bandwidth between the Viigin Islands Next Generation Network (viNGA) and Departments ofthe Vimgin Island, et a!. NOW, THEREFORE, to fulfill the above objectives and enable students with insufficient internet connectivity, particularly low-income households, to receive free broadband service at or within a short distance from their homes, the Parties agree and will carry out the terms of this MOU as follows: Section 1: PURPOSE/TERM Beginning March 21, 2022, viNGN will extend internet accessibility to students by installing numerous Wi-Fi hotspots at public housing sites and designated community centers, and public areas throughout the Territory, and VIDE, VIHA, and DPNR will coordinate with viNGN to allow for all installations and the Departments agree to oversee the installations and secure all viNGN equipment installed while such equipment remains on each respective Departments’ property. The Parties agree to cany out the terms of this MOU for a minimum of five (5) years from the date of execution, and this MOU will automatically renew for a maximum of five years, pending availability of funds, unless terminated by the Parties in writing. Section 2: RESPONSIBILITIES OF THE PARTIES The Parties agree to execute the following responsibilities: viNGN 1. Will prchase on behalf of GVI and install all the hardware and equipment listed in Exhibit A (attached to this MOU and incorporated herein by reference) for the Wi-Fi expansion project: a. Will retain custody of equipment housed in viNGN facilities and Wi-Fi equipment in public spaces, or VIHA, and DPNR facilities/properties regardless of funding source; b. Exhibit A is a list of all initial equipment to be purchased by or on behalf of GVI along \vith the cost associated with those purchases. This hardware will be used to manage the increased network communications traffic anticipated from greater bandwidth consumption. Additional field WiFi and communication equipment will be added at viNGN’s sole discretion based on availability of funding. II. Design and install wireless network for students and public use across facilities/properties in Exhibit B (attached to this MOU and incorporated herein by reference); a. Will install the Wi-Fi equipment at the locations and common spaces (in conjunction with staff of each respective Party hereunder); b. Will make Wi-Fi bandwidth available from public spaces and route internet traffic to VIDE headquarters; c. Exhibit B is list of Department areas where equipment will be installed and bandwidth as well as Wi-Fi and fiber will be provided. For each location listed in Exhibit B where the property owner is not a party to this MOU, viNGN will seek the permission and authority from each respective property owner to install any equipment at those locations. A private property owner’s refusal to grant such permission and authority to viNGN will not be considered a default by viNGN hereunder; 2 General Contract No. G079OOGT22 .\IOU- Regarding Wireless Vetiiork FZpansion and Supporting Evere J’hgin island Student uith High Bandwidth between the Viigin islands .Vext Generation Vetu’ork (LVG.\) and Departments ofthe Vii’gin Island, et at d. Provide maintenance and maintain the operability of all viNGN equipment installed: e. viNGN will deploy equipment to additional agreed upon sites, as funding for such opportunities becomes available throughout the term of this MOU; and f. viNGN will only be responsible for the maintenance and insurance for WiFi and network equipment it deploys. All other connected WiFi equipment is the responsibility of the agency that deployed such equipment. VIDE - In the event that viNGN provides bandwidth to or places equipment at VIDE facilities/properties, VIDE will coordinate with viNGN to allow viNGN to cany out its responsibilities under this section and provide the relevant VIDE personnel needed to oversee viNGN installation of all the hardware and equipment at VIDE facilities/properties: a. Will maintain a list of viNGN and GVI equipment and secure the viNGN equipment installed under this section so it safely remains on any VIDE facilities/properties for use; b. Will supply power to devices and access points as well as aid with successful implementation of the Wireless Expansion proj ect: c. Notify viNGN of service interruption and notify viNGN if damage occurs to any equipment: d. VIDE will be solely responsible for the maintenance, replacement, and insurance of any WiFi and network equipment it deploys that connects to viNGN’s fiber. VIHA - \Vill coordinate with viNGN to allow viNGN to carry out its responsibilities under this section and provide the relevant VIHA personnel needed to oversee viNGN installation of all the hardware and equipment at VIHA facilities/properties where VIDE students need use: a. Will maintain a list of viNGN and GVI equipment and secure the viNGN and GVI equipment installed under this section, so it safely remains on any VIHA facilities/properties for use by VIDE students; b. Will supply power to devices and access points as well as aid with successful implementation of the Wireless Expansion project; c. Notify viNGN of service interruption and notify viNGN if damage occurs to any equipment. d. VIHA will be solely responsible for the maintenance, replacement, and insurance of any WiFi and network equipment it deploys that coimects to viNGN’s fiber. e. Will maintain a list of VIHA locations where viNGN is providing banthvidth; and f. Will maintain a list of viNGN and GVI equipment and secure the viNGN and GVI equipment installed under this section so it safely remains on any DPNR facilities/properties for use; b. Will supply power to devices and access points as well as aid with successful implementation of the Wireless Expansion project; c. Notify viNGN of service interruption and notify viNGN if damage occurs to any equipment. d. DPNR will be solely responsible for the maintenance, replacement. and insurance of any WiFi and network equipment it deploys that connects to viNGN’s fiber; e. \Vill maintain a list of DPNR locations where viNGN is providing bandwidth; and f. Will make sure bandwidth is maintained at the locations under Exhibit B for use. SPR Will coordinate with viNGN to allow viNGN to carry out its responsibilities under this section and provide the relevant SPR personnel needed to oversee viNGN installation of all the hardware and equipment at SPR facilities/properties for use: a. Will maintain a list of viNGN and GVI equipment and secure the viNGN and GVI equipment installed under this section so it safely remains on any SPR facilities/properties for use; b. Will supply power to devices and access points as well as aid with successful implementation of the Wireless Expansion Proj ect; c. Notify viNGN of service interruption and notify viNGN if damage occurs to any equipment. d. SPR will be solely responsible for the maintenance, replacement, and insurance of any WiFi and network equipment it deploys that connects to viNGN’s fiber. e. Will maintain a list of SPR locations where viNGN is providing bandwidth; f. Will make sure bandwidth is maintained at the locations under Exhibit B for use. VIDA Will coordinate with viNGN to allow viNGN to cany out its responsibilities under this section and provide the relevant VIDA personnel needed to oversee viNGN installation of all the hardware and equipment at VIDA facilities/properties for use: a. Will maintain a list of VIDA locations where viNGN is providing bandwidth; and f. Will make sure bandwidth is maintained at the locations under Exhibit B for use. DOH Will coordinate with viNGN to allow viNGN to carry out its responsibilities under this section and provide the relevant DOH personnel needed to oversee viNGN installation of all the hardware and equipment at DOl-1 facilities/properties for use: a. Will maintain a list of viNGN and GVI equipment and secure the viNGN and GVI equipment installed under this section so it safely remains on any DOH facilities/properties for use; b. Will supply power to devices and access points as well as aid with successful implementation of the Wireless Expansion project; c. Notify viNGN of service interruption and notify viNGN if damage occurs to any equipment; d. DOH will be solely responsible for the maintenance, replacement, and insurance of any WiFi and network equipment it deploys that connects to viNGN’s fiber. e. Will maintain a list of DOH locations where viNGN is providing bandwidth; and f Will make sure bandwidth is maintained at the locations under Exhibit B for use. VIPD - Will coordinate with viNGN to allow \‘iNGN to cany out its responsibilities under this section and provide the relevant VIPD personnel needed to oversee viNGN installation of all the hardware and equipment at VIPD facilities/properties for use: a. Will maintain a list of viNGN and GVI equipment and secure the viNGN and GVI equipment installed under this section so it safely remains on any VIPD facilities/properties for use; b. Will supply power to devices and access points as well as aid with successful implementation of the Wireless Expansion project; c. Notify viNGN of service interruption and notify viNGN if damage occurs to any equipment; d. VIPD will be solely responsible for the maintenance, replacement, and insurance of any WiFi and network equipment it deploys that connects to viNGN’s fiber. e. Will maintain a list of VIPD locations where viNGN is providing bandwidth; and f. Will supply power to devices and access points as well as aid with successful implementation of the Wireless Expansion project; c. Notify viNGN of service interruption and notify viNGN if damage occurs to any equipment; d. \IHFA will be solely responsible for the maintenance, replacement, and insurance of any WiFi and network equipment it deploys that connects to viNGN’s fiber. e. Will maintain a list of VIHFA locations where viNGN is providing bandwidth; and f. Will make sure bandwidth is maintained at the locations under Exhibit B for use. UVI Will coordinate \vith viNGN to allow viNGN to carry out its responsibilities under this section and provide the relevant UVI personnel needed to oversee viNGN installation of all the hardware and equipment at UVI facilities/properties for use: a. Will maintain a list of viNGN and GVI equipment and secure the viNGN and GVI equipment installed under this section so it safely remains on any UVI facilities/properties for use; b. Will supply power to devices and access points as well as aid with successful implementation of the \Vireless Expansion project; c. Notify viNGN of service interruption and notify viNGN if damage occurs to any equipment; d. UVI will be solely responsible for the maintenance, replacement, and insurance of any WiFi and network equipment it deploys that connects to viNGN’s fiber. e. Will maintain a list of UVI locations where viNGN is providing bandwidth; and f. Will make sure bandwidth is maintained at the locations under Exhibit B for use. VIPA— Will coordinate with viNGN to allow viNGN to carry out its responsibilities under this section and provide the relevant VIPA personnel needed to oversee viNGN installation of all the hardware and equipment at VIPA facilities/properties for use: a. Will maintain a list of VIPA locations where viNGN is providing bandwidth; and f. Will make sure bandwidth is maintained at the locations under Exhibit B for use. GERS - Will coordinate with viNGN to allow viNGN to carry out its responsibilities under this section and provide the relevant GERS personnel needed to oversee viNGN installation of all the hardware and equipment at GERS facilities/properties for use: a. Will maintain a list of viNGN and GVI equipment and secure the viNGN and GVI equipment installed under this section so it safely remains on any GERS facilities/properties for use; b. \Vill supply power to devices and access points as well as aid with successful implementation of the Wireless Expansion project; c. Notify viNGN of service interruption and notify viNGN if damage occurs to any equipment; d. GERS will be solely responsible for the maintenance, replacement, and insurance of any WiFi and network equipment it deploys that connects to viNGN’s fiber; e. Will maintain a list of GERS locations where viNGN is providing bandwidth: and f. ‘Will make sure bandwidth is maintained at the locations under Exhibit B for use. The Parties may add additional or amend the responsibilities listed in this section through Amendments signed by all Parties, if any Amendment is agreed to by the Parties it is a part of this MOU and will be incorporated into the MOU herein by reference. Section 3: COSTS For the term of this MOU, GVI will pay, with federal funds secured by the GVI for the purchase cost, installation costs, maintenance costs, and repair costs of all equipment under Exhibit A needed to provide for the Wireless Expansion Project and intemet/Wi-Fi to students for education purposes. GVI will solely own all purchased equipment regardless of funding source. For the term of this MOU, GVI will pay for bandwidth to viNGN on or before January 1 of each year of this Agreement for the purchase cost of bandwidth, fiber, and power needed to provide for the Wireless Expansion Project and internet/Wi-Fi to students for education purposes. Payment for the first year may be prorated if necessary. For purposes of grant documentation bandwidth is purchased by GVI from viNGN, at an annual flat rate regardless of the number of sites. GVI or each MOU Department, will be responsible for the bandwidth cost per additional site added. viNGN will consult with each MOU Department prior to WiFi network expansion. Following is an annual payment schedule that GVI will pay viNGN for wireless bandwidth and 7 General Contract No. G079OOGT22 ,tIOL’ — Regw ding it ,e1ess Network E)pansion and Supporting Eveij Viigin Island Student with High Bandwidth between the ?rgin Islands \‘ext Generation Network (vi.\G\) and Departments ofthe ?igin Island, et a! associated maintenance, regardless of the number of sites, for the calendar year beginning January 1, 2022 in the amount of $1,240,000 per year. The first year shall be prorated to reflect the actual commencement of services. No individual party hereunder or owner of any site listed in Exhibit B will be responsible for the purchase of or for the payment of bandwidth costs and fees for the locations listed under Exhibit B. Section 4: AUTHORITY This MOU is entered into in furtherance of the WiFi expansion project being funded by the Office of the Governor through Public Law: American Rescue Plan Act of 2021 (ARPA) — Federal Award identification No. SLFRP38I8. The Parties enter into this MOU pursuant to all applicable federal laws and regulations and all applicable laws and regulations of the U.S. Virgin Islands. Disputes: If a dispute arises, the Parties and the Governor of the U.S. Virgin Islands will work together to formulate a final decision as to the resolution. The Governor shall be the final arbiter of any dispute. The Governor’s decision shall be final and binding on all parties. Section 7: EFFECTIVE DATE This agreement shall be effective immediately upon the signing of the agreement by the Parties and the Governor of the US Virgin Islands and shall be binding upon them and their successors. Any amendment or supplementation of this agreement must be in writing and signed by the Parties or their successors. Section 8: MODIFICATION This MOU may be modified upon the mutual written consent of the Parties. Section 9: TERMINATION The terms of this IVIOU will remain in effect until the term of this MOU has expired or until the terms of this MOU are rendered obsolete by written acknowledgment by all Parties or the MOU is terminated by mutual agreement of the parties.
