OPCMR AMENDMENT No. 3 OF PROFESSIONAL SERVICES CONTRACT THIS AMENDMENT made as of the ______ day of _ , 20_ in the Territory of the Virgin Islands, by and between the Government of the Virgin Islands DEPARTMENT OF PROPERTY AND PROCUREMENT, on behalf of the DEPARTMENT of Human Services (hereinafter referred to as “Government”) and 3P, Inc. whose address is 3004 Estate Altona, Suite 12. Charlotte Amalie, St. Thomas, VI 00802 (hereinafter referred to as “Contractor”). Both parties witness to being duly authorized to execute this agreement and will attest accordingly when and where necessary. WITNESSETH WHEREAS, pursuant to Contract No. PO39DHSC17 approved by the Governor on July 20, 2017 and its Amendment No. I and Amendment No. II, approved by the Governor on July 20, 2017 and July 17, 2020, (which constitute and are hereinafter referred to as the “Contract”), the Government contracted with Contractor to provide Medicaid Consultation Services, Assist Medicaid with Rate Setting and Reconciliation and Perform Medicaid Audits of the Annual Medicare Cost Reports and Other Supporting Information for the USVI Hospitals, Nursing Facility, Federal; and WHEREAS, the Contract expires pursuant to its terms on July 19, 2021; and WHEREAS, the parties desire to amend the Contract, to extend its term from July 19, 2021 to January 19 2023; and NOW THEREFORE, for mutual and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows: TERMS AND CONDITIONS I. The Contract, is hereby amended and its term extend by deleting all existing language contained in Paragraph 1 and replacing it with language as follows: This contract shall commence upon the execution of the Governor of the Virgin Islands and the Contract shall be effective for a term beginning from July 20, 2017- January 19, 2023. 2. This Amendment is subject to the approval of the Governor of the Virgin Islands and to the appropriation and availability of funds. I Initials: Contract No. 19th July 21 P100DHST21 OPCMR 3. Except as expressly amended in this Amendment, all terms of the Contract and Amendment No. 1 and No. 2 remain in full force and effect. 4.
