AMENDMENT No. ONE (1) OF PROFESSIONAL SERVICES CONTRACT THIS AMENDMENT made as of the ______ day of ________________, 20 in the Territory of the Virgin Islands, by and between the Government of the Virgin Islands DEPARTMENT OF PROPERTY AND PROCUREMENT, on behalf of the BUREAU OF INFORI’IATION TECHNOLOGY (hereinafter referred to as “Government”) and PiTech Solutions, Inc. whose address is P.O. Box 14586 Durham, NC 27709 (hereinafter referred to as “Contractor”). Both parties witness to being duly authorized to execute this agreement and will attest accordingly when and where necessaly. WITNESSETH WHEREAS, pursuant to Contract No. PO16BITT2O approved by the Commissioner of Property and Procurement on January 27, 2020, (which constitute and are hereinafter refelTed to as the “Contract”), the Government contracted with Contractor to conduct an IT assessment across the TelTitory to include St. Croix, St. Thomas and St. John, conduct an inventory of Hardware and Software across the Territory, and develop a future state recommendation in the form of an Enterprise Design Document; and WHEREAS, the Contract expires pursuant to its terms on June 25, 2020; and WHEREAS, the parties desire to amend the Contract, to extend its term by one hundred eighty (180) days, to change the provisions in Addendum I (Scope of Work) to amend the schedule and time frame reference, and to change the provisions in Addendum II (Compensation) to amend the payment plan. VHEREAS, the amendment of the Contract pursuant to this Amendment of Professional Services Contract shall not result in any change to the scope of work provided for under the Contract and shall not require an increase to the compensation originally provided for under the Contract. NOW THEREFORE, for mutual and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows: Contract No. Initials: ______ 25 June 20 P066BITT20 TERMS AND CONDITIONS 1. The Contract, is hereby amended and its term extended by one hundred eighty (I 80) days by deleting all existing language contained in Paragraph 2 and replacing it with language as follows: This Contract shall commence upon execution by the Commissioner of the Department of Property and Procurement and shall terminate three hundred thirty (330) days thereafter. 2. Addenda I and II of the Contract arc revised by deleting all terms contained therein and inserting in lieu thereof all of the terms contained in the new Addenda I and II attached hereto as Exhibit “A” and Exhibit “B”. 3. This Amendment is subject to the approval of the Commissioner of Property and Procurement and to the appropriation and availability of funds. 4. Except as expressly amended in this Amendment, all terms of the Contract remain in full force and effect. 5. FASCIMILE, ELECTRONIC & DIGITAL SIGNATURES A facsimile, electronic or digital signature on this Contract shall be deemed an original and binding upon the Parties hereto.
