AMENDMENT TO PROFESSIONAL SERVICE CONTRACT THIS AGREEMENT made as of the _/G day of May 2017 in the Territory of the Virgin Islands, by and between the Government of the Virgin Islands, DEPARTMENT OF PROPERTY AND PROCUREMENT on behalf of the Virgin Islands Territorial Emergency Management Agency, (hereinafter referred to as “Government”) of 8221 Estate Nisky, St, Thomas, US Virgin Islands 00802 and American Signal Corporation of 8600 West Bradley Road, Milwaukee, WI 53224 (hereinafter referred to as “Contractor”). The Government and the Contractor are collectively referred to as the “Parties”. WITNESSETH: WHEREAS, the parties entered into Contract No. PO16VITC17 to purchase, install and conduct Preventive Maintenance Services on sixteen (16) Early Warning Sirens located in low lying areas in and around tsunami evacuation zones in the Territory, which duties and responsibilities; and WHEREAS, the Government is in need of additional services for the “Installation of Emergency Management Early Warning System” and WHEREAS, the additional services will require an additional compensation of One Hundred Thirty-Five Thousand, Four Hundred Ninety-Three Dollars and Seventy-One Cents ($135,493.71), for a total contract cost of Six Hundred Eighty - Two Thousand, Six Hundred Nine Dollars and Seventy-Eight cents ($682, 609.78); and WHEREAS, the Contractor represents that it is willing and capable of providing the amended services NOW THEREFORE, the Parties agree that the Contract is amended as follows 1. Addendum I (Scope of Work) is deleted in its entirety and replaced with Amendment to Addendum I (Scope of Work) attached hereto and incorporated herein 2. Paragraph 3 (Compensation) is amended to state: The additional services will require an additional compensation of One Hundred Thirty-Five Thousand, Four Hundred Ninety-Three Dollars and Seventy-One Cents ($135,493.71), for a total contract cost of Six Hundred Eighty -Two Thousand, Six Hundred Nine Dollars and Seventy-Eight cents ($682, 609.78) “The Government, in consideration of the satisfactory performance of the services described in Amendment to Addendum I (Scope of Work), agrees to pay Contractor the sum of Six Hundred Eighty Two Thousand Six Hundred Nine Dollars and Seventy-Eight Cents ($682,609.78) in accordance with the provisions set forth in Amendment to Addendum II (Compensation) and Amendment to Attachment E attached hereto and made a part of this contract by refererice.” 3. Addendum II (Compensation) is deleted in its entirety and replaced with Amendment to Addendum II (Compensation) attached hereto and incorporated herein. 4. Except as expressly amended in this Amendment to Professional Services Contract, all terms of the Contract (POC160VITC17), shall remain in full force and effect. Contract ORPY 0 Fei?
