Box 6347 St. Thomas, U.S. Virgin Islands 00804-6347 Re: IGY-AYH St. Thomas Holdings, LLC Petition for Change in Ownership Structure Dear Attorney Roberts: This correspondence serves as formal notification of action taken by the Governing Board of the Virgin Islands Economic Development Commission (“VIEDC” or “Commission”) at its Decision Meeting on July 11, 2023 regarding the petition submitted by IGY-AYH St. Thomas Holdings, LLC (“IGY-AYH” or “Applicant/Beneficiary”) for a change in ownership structure. VIEDC considered said petition and decided as follows: 1. That VIEDC acknowledge the corporate conversion and name change from Island Global Yachting Facilities Ltd. to Island Global Yachting Facilities, LLC effective December 22, 2020. 2. That VIEDC acknowledge the acquisition of the ownership shares by Island Global Yachting Facilities, LLC previously held by the Estate of Jeffrey Epstein effective August 26, 2021; and approve the change in ownership structure and interest to reflect Island Global Yachting Facilities, LLC as the sole owner pursuant to V.I. CODE ANN. tit. 29, § 714(b) as follows: Member Address Owned Island Global Yachting Facilities, LLC c/o The Corporation Trust Company 1209 Orange Street Wilmington, New Castle County, Delaware 19801 100% 3. That the Certificate of tax incentives shall be amended to reflect the herein referenced changes; and 4. That all other terms and provisions of the Certificate shall remain in full force and effect.
