AMENDMENT 3 TO CONTRACT PC124D0L13 THIS AMENDMENT 3 TO CONTRACT No. PCO73DOL15 which was modified by CONTRACT No. PC109DOL14 which pears Contract No. PC124DOL13 (collectively the “Amendment”) is made this _ Bday of _ OPCemePey_, 2015 (the “Effective Date”), by and between the Government of the Virgin Islands,~Department of Property & Procurement on behalf of the Department of Labor (the “Government’) and EVERTEC Group, LLC (“Contractor’). WITNESSETH: WHEREAS, the parties entered into the Professional Services Contract No PC124DOL13 as of June 28, 2013 which was modified by Contract No. PC109DOL14 which was modified by Contract No. PCO73DOL15 will expire on June 27, 2016 (the “Contract”) under which Contractor provides implementation services and ongoing programming and technical support (the “Services”) for the Virgin Islands Department of Labor Unemployment Insurance System (the “System’”); and WHEREAS, Contractor presented to the Government the Unemployment Insurance Strategic Projects Proposal Phase II, dated as of July 2015 (the “Proposal”) to provide a comprehensive set of initiatives in order to enhance the overall efficiency and quality of the Unemployment Insurance System (the “Additional Services”); and WHEREAS, pursuant to Paragraph 13. of the Contract, the parties mutually desire to enter into this Amendment to add the Additional Services to the Contract. Now, THEREFORE, in consideration of the mutual covenants herein contained, and intending to be legally bound by this written instrument, the parties hereto do covenant and agree as follows: 1. Except as otherwise provided in this Amendment, all capitalized terms used herein shall have the meanings ascribed thereto in the Contract. 1. SERVICES. Contractor will provide the services described in Amended Addendum | (Scope of Services) attached hereto and made a part of this Contract. 2. TERM. This cuntract is hereby amended to terminate on June 27, 2017. This contract can be renewed for an additional period of one (1) year by executing an Exercise of Renewal Option Form. 3. COMPENSATION. Section three (3) of the contract is hereby amended to increase the compensation by Eight Hundred Thousand Dollars ($800,000.00) for an amount not to exceed One Million Nine Hundred Two Thousand Six Hundred Fifty-Nine Dollars ($1,902,659.00). 2. Amended Addendum 1 (Scope of Services) and Amended Addendum I! (Compensation) attached hereto are hereby incorporated into the Contract, as set forth herein. 3. It is understood and agreed by both parties that all other terms and conditions of the Contract shall remain as written and in full force and effect. 4. This Amendment of Professional Services Contract is subject to the approval of the Governor of the Virgin Islands and to the availability and appropriation of funds.
