AMENDMENT TO PROFESSIONAL SERVICES CONTRACT TillS AMENDMENT made as of the day of __ .20 in the Territoiy of the Virgin Islands, by and between the Government of the Virgin Islands DEPARTMENT OF PROPERTY AND PROCUREMENT, on behalf of the DEPARTMENT OF HUMAN SERVICES (hereinafter referred to as “Government”) and CPH, Inc. whose address is 950 Ave. Ponce de Leon, San Juan, PR 00907 (hereinafter referred to as “Contractor”). Both parties witness to being duly authorized to execute this agreement and will attest accordingly when and where necessaly. WiTh ESSETH WHEREAS, pursuant to Contract No. PO67DHST2O approved by the Commissioner of the Department of Property and Procurement on June 26, 2020. (hereinafter referred to as the “Contract”). the Government contracted with Contractor to provide architectural and engineering services, prepare analyses and other required materials to facilitate submission of federal grant applications for the 201 7 disaster recovety funds, and assessment/review of current site status which duties and responsibilities arc more particularly described in Addendum I (Scope of Services) attached hereto; and WHEREAS, the Contract expires pursuant to its terms on October 1, 2020; and WHEREAS, the parties desire to amend the Contract, to extend its tenn and to update the Scope of Services in Addendum I to include additional services that align with the original Scope, updating and increasing the number of facilities herein included, and changing the deadline (hr submission of certain deliverables. Said updates shall result in an increase 01’ compensation by an additional total sum not to exceed THIRTY-FIVE THOUSAND and 00/100 DOLLARS (S35,000.00) as detailed in the amended Addendum II of this document. NOW THEREFORE, for mutual and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows: Contract No. Initials: Q -. qo_ OPCMR P097DHST20 16th September 20 (lW. Paragraph No. 2 Term and Effective Date is hereby amended to extend the term of the Contract by deleting all of the existing language contained therein and replacing it with new language as follows: “This Contract shall be effective upon the date of execution of’ this Contract by the Commissioner of the L)epartment of Property and Procurement and shall terminate December 5. 2020. The Government in its sole discretion shall have the option to renew this Contract for a period of six (6) months subject to the same terms noted herein by providing the Contractor with thirty (30) days ritten notice of the Government’s election to renew.” 2. Paragraph No. 3 — Compensation is hereby amended to increase the compensation by Thirty-Five Thousand and 00/100 Dollars (535.000.00) for a total amount not to exceed Two Hundred Eighty-Nine Thousand Three lluiidred and 00/100 Dollars (S2X9,300.00) by deleting all of’ the existing language contained therein and replacing it with new language as follows: “The Government, in consideration of the satisfactory performance of the services described in Addendum I (Scope of Services) agrees to pay Contractor the sum not to exceed Two Hundred Eighty-Nine Thousand Three Hundred and 00/100 l)ollars ($289,300.00) in accordance with the provisions set forth in Amended Addendum II (Compensation) attached hereto and made a part ot’ this Contract.” 3. Addenda I and II of’ the Contract are revised by deleting all terms contained therein and inserting in lieu thereof all of the terms contained in the new Addenda I and 11 attached hereto as Exhibit “A” and Exhibit ‘B.” 4. This Amendment is subject to the approval of’ the Commissioner of’ Property and Pi’ocuremeni and to the appropriation and availability of funds. 5. Except as expressly amended in this Amendment, all terms of the Contract remain in full foi’ce and effect.
