LIABILITY OF OTHERS Nothing in this Contract shall be construed to impose any liability upon the Government to persons, firms, associations, or corporations engaged by Contractor as servants, agOnts, or indepcn&nt contiactot or in any other capacity whatsoever, oi make Government liable to any such persons, firms, associations, or corporations for the acts, omissions, liabilities, obligations and taxes of Contractor of whatsoever nature, including but not limited to imemployment insurance, gross iccLipt excisc and social scuurity taxes foi Contractoi, its servants agents oi independent contractors. 9. ASSIGNMENT The Contractor shall not subcontract or assign any part of the services under this Contract without the prior written consent of the Government. 10. Any such waiver, modification or amendment in any instance or instances shall in no event be consuned to be a genetal aivei, modification oi amendment of any of the teims, conditions oi provisions of this Contiact but thc same shall he strictly limited and restricted to the extent and occasion specified in such signed vdting or writings. 14. RIGHT TO WITHHOLD Ifwork under this Contract is nOt performed in accordOnee with the temi hereof,GovOmnient will have the right to withhold out of any payment due to Contractor. such sums as Government may deem ample to protect it against loss or to assure payment of claims arisingtherefrom, and, at its option Government may apply such sums in such manner as Government may deem piopei to secure itself or to satisfy such claims. Government will immediately notify the Contractor in writing in the event that it elects to exercise its right to withhold. No such withholding or application shall be made by Government if and while Contractor gives satistactoiy assnianee to Government that such claims will be paid by Contiaetoi ot its insuianec carrier, if applicable in the event that such contest is not successful. 16. PARTIAL TERMINAUON The performance of work tinder this Contract may be terminated by the Government, in part, whenever the Government shall deem such tern.iination advisable by providing thirty (30) days written notice to the Contractor. This partial termination shall be effected by delivering to the Contractor a Notice of Partial Termination specifying the extent to which the term and/or duties under this Contract are terminated and the date upon which such termination becomes effective. The Contractor shall be entitled to receive payment for services provided to the date oftermination, including payment for the period of the thirty (30) day notice. 19. NON-DISCRiMINATION No person shall be excluded from participating in be denied the proceech of or be subject to discrimination in the performance of this Contract on account of race, creed, color, sex, religion, disability or national origin. 20. CONFLICT OF INTEREST (a) Contractor covenants that it has no interest and will not acquire any interest direct or indirect, which would conflict in any manner or degree with the performance of services required to be performed tinder this Contract. (b) Contractor further covenants that it is: (I) not a territorial officer or employee (Lc., the Governor, Lieutenant Governor, member of the Legislature, or any other elected territorial official; or an officer or employee ot’the legislative, executive or judicial branch of the Government or any agency, board, commission or independent instrumentality of the Government, whether compensated on a salary, fee or contractual basis): or (2) a territorial officer or employee and, as such, has: (i) familiarized itselfwith the provisions ofTitle 3, Chapter 37 of the Virgin Islands Code, pertaining to conflicts of interest, including thc penalties provision set forth in section 1108 thereof; (ii) not made, negotiated or influenced this Contract, in its official capacity; and (iii) no financial interest in the Cohnact as that term is dcfincd in sectiOn 1101(1) of said Code chapter. 21. EFFECTIVE DATE Upon the execution by the Governor the Contract shall be effective for the term of October 1, 2019 to September 30, 2024. 22. (b) AUTOMOBILE LIABILITY Automobile liability insurance in a form acceptable to the Government, which covers the services being perlormed undet this Contuact, with policy limits of not less than five hundred thousand dollars and zero cents ($500,000.00) for each occurrence and shall submit the Schedule of Vehicles The Government shall he hsted thereon as a certificate holder. (c) WORKERS’ COMPENSATION: Contractor shall supply cunent coverage under the Government Insurance Fund or other form of coverage. 2$. I3ILUNG PROCEDURES and PAYMENT The Governnientwill pay Contractor upon receipt of properly coilupleted invoices to be submitted monthly. The invoices shall describe and document to the Government’s satisfaction, and shall contain information, including but not limited to, the period of services covered by the invoice, description of the services perfonned, and the amount of fees in accordance with the compensation schedule agreed upon by the parties. Each invoice must be accompanied by applicable suppoi ting documents includmg bitt not limited to oi igunal copies of the daily Driver’s log and third party vendor invoices (maintenance). Payment shall he considered timely if made by the Government within thirty (30) days after icccipt ofptopeily cornplcted invoicus and vcnlication th3t the services invoiced’wcie piovidcd in accou dance with the Contiact and all applicable tedetal and local laws and iegulations, including all applicable policies, rtules and procedures pertaining to the Contract otthe services provided hereunder. Payment shall be sent to the address designated by the Contractor. DEFAULT AND FAILURE TO PERFORM In the event of any failuie ol relusal of the Contractoi to perform its obligations under this Contiact, except. as defined in Paragraph 29, all costs, charges, and expenses that the Department suffers shall be a part of the damages to be paid by the Contractor tO the Department, as a result of such failure or refusal to perform 31. SEVERABILITY If any of the provisions of this contract are determined to bc invalid, such invalidity shall not affect 01 impair the validity of the otherpiovisions, which shall be considered seveiable and shall remain in full force and effect, 32. WITNESSETH WHEREAS, pursuant to Contract No. POOIDOET2O approved by the Governor on October 31, 2019 (which constitutes and is hereinafter referred to as the “Contract”), the Government contracted with Contractor to furnish pupil transportation for its regular education schedules and summer schedules to and from public schools and designated points on the island of St. Thomas and other events andlor activities which are more particularly described in Addendum 1 (Scope of Services) attached hereto; and WHEREAS, the Contract expires pursuant to its terms on September 30, 2024; and WHEREAS, the re-configuration of schools and locations provoked the Parties to re-assess transportation routes, causing a significant decrease of the mileage traversed per day; and WHEREAS, the adjusted daily mileage and subsequent mileage rate caused a decrease in the Contract’s total compensation by Two Hundred Eighty-Two Thousand) Three Hundred Forty- Eight Dollars and Sixty Cents ($282,348.60); and WHEREAS, the amendment of the Contract pursuant to this Amendment of Professional Services Contract shall not result in any change to the Scope ofServices outlined in this Contract’s Addendum 1; and NOW ThEREFORE, for mutual and valuable consideration, the receipt and sufficiency of which is hereby acknowledged1 the parties hereto agree as follows: TERMS AND CONDITIONS , I. Addendum I of the Contract is revised by amending Page 16, Section C: Driver Regulations, No, 6 by deleting all of the existing language contained therein and replacing it with new language as follows: “The Contractor shall acquire the services ofan independent drug tester to conduct periodic random alcohol/drug testing for its drivers during the life of the Contract and shall upon request provide proof that such testing was conducted to the Department.” 3. Addendum II of the Contract is revised by deleting all terms contained therein and inserting in lieu thereof all of the terms contained in the new Addendum IL attached hereto as Exhibit “A”. 4. This Amendment is subject to the approval of the Governor of the Virgin Islands and to the appropriation and availability of ftmds, 5. Except as expressly amended in this Amendment, all terms of the Contract remain in full force and effect.
