ACT NO. 7260 BILL NO. 29-0039 TWENTY-NINTH LEGISLATURE OF THE VIRGIN ISLANDS Regular Session 2011 An Act amending title 13 Virgin Islands Code, chapter 1, section 62 relating to the number of directors of a corporation --0--- Be it enacted by the Legislature of the Virgin Islands: SECTION 1. Title 13 Virgin Islands Code, chapter 1, subchapter IV, section 62 is amended in the following instances: (1) The existing language is designated as subsection (a); (2) All of the language after “directors” is stricken and new language is inserted that reads as follows: “that constitutes the whole of board is the number fixed from time to time by, or in the manner provided in the articles of incorporation, or pursuant to authority given in the articles of incorporation, or in the bylaws; but except as provided in subsection (b), the number of directors may not be less than three”; and (G)) Subsection (b) is added and reads as follows: “(b) In the case of a corporation that has fewer than three shareholders, the number of directors may be equal to the number of shareholders”.
