-, OPCMR AMENDMENT No. 1 OF SUBGRANT AGREEMENT THIS AMENDMENT made as of the —- day of _____________, 2021 in the Territory of the Virgin Islands, by and between the Government of the Virgin Islands DEPARTMENT OF PROPERTY AND PROCUREMENT, on behalf of the DEPARTMENT of EDUCATION (hereinafter referred to as “Government”) and CENTRAL CHURCH OF THE NAZARENE, INC. a Virgin Islands private non-profit of, 289 Mary’s Fancy, Christiansted, St. Croix, V.1. 00820 (hereinafter referred to as “Sub-Grantee”). Both parties witness to being duly authorized to execute this agreement and will attest accordingly when and where necessary. WITNESSETH WHEREAS, pursuant to Agreement No. PO15DOET2O approved by the Commissioner of the Department of Property and Procurement on January 27, 2020 (which constitute and are hereinafter referred to as the “Agreement”), the Government contracted with the Sub-Grantee to utilize Adult Education and Family Literacy Act (AEFLA) to provide Sub Grantee funds that will enable states and territories to provide adult education and literacy activities, including Adult Basic Education (ABE). Adult Secondary Education (ASE) and English Language Acquisition (ELA), to assist adults to become literate and obtain the knowledge and skills necessary for employment and self-sufficiency; to assist those who are parents to obtain the educational skills necessary to become full partners in the educational development of their children; and to assist adults in the completion of a secondary school education; and WHEREAS, the Sub-Grantee shall provide services to up to ninety (90) participants, as authorized by the AEFLA, under the project, Adult Education and Literacy Public / Private Partnership Network, at 289 Mary’s Fancy, Christiansted, St. Croix, VI. 00820; and WHEREAS, the Agreement expires pursuant to its terms on October 31, 2021; and WHEREAS, the Sub Grantee received a supplemental award from the U.S. Department of Education from federal fiscal year (FFY’20) funding to expand its program to support virtual and hybrid services being offered to its participants during the Covid-19 Pandemic; and WHEREAS, the parties desire to amend the Contract, to extend its term by fourteen (14) months and to increase the compensation by One Hundred Forty-Three Thousand Dollars and Zero Cents ($143,000.00); and NOW THEREFORE, for mutual and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows: Amends Contract No. Initials. POI500ET2O 28th October G006DOET22 OPCMR TERMS AND CONDITIONS 1. The Contract, is hereby amended and its term extended by fourteen (14) months by deleting all existing language contained in Paragraph 2 and replacing it with language as follows: The teni of this Contract shall be from December 1, 2019 to December31, 2022. Upon the date of executions of this Contract by the Commissioner of the Department of Property and Procurement this Contract shall become effective for the Term set out herein. 2. Paragraph No. 3 — Funding is hereby amended to increase the funding by One Hundred Forty-Three Thousand Dollars and Zero Cents (S 143,000.00) for a total amount not to exceed Three Hundred Six Thousand, Five Hundred Nine Dollars and Thirty-Eight Cents ($306,509.38) by deleting all of the existing language contained therein and replacing it with new language as follows: “The Government, in consideration of the satisfactory performance of the services described in Amended Addendum I (Scope of Services) agrees to pay Contractor the sum not to exceed Three Hundred Six Thousand, Five Hundred Nine Dollars and Thirty-Eight Cents ($306,509.38) in accordance with the provisions set forth in Amended Addendum II (Compensation) attached hereto and made a part of this Contract.” 3. Addenda 1,11, and Attachment A of the Contract are revised by deleting all terms contained therein and inserting in lieu thereof all of the terms contained in the new Addenda 1,11, and Amended Attachment A, attached hereto and made part of this Amendment 4. Paragraph 23 (OTHER PROVISIONS) of the Agreement is amended by adding Addendum III (Provisions from 2 CFR 200 - Appendix II), attached hereto and incorporated herein by reference. 5. This Amendment is subject to the approval of the Commissioner of the Department of Property and Procurement and to the appropriation and availability of funds. 6. Except as expressly amended in this Amendment, all terms of the Agreement remain in full force and effect. 7.
