Virgin Islands, Dcpartmcaçf Property and Procurement, on behalf of tii OFFICP OF THE GOVERNOR (hcrcmaftc4i4fl4 to as “Governrnem”) and BRADFORD NUGENT (hereinafter referred to as Contmctor W1TNESSETH: WHEREAS, the Government is in need of the services of a Contractor to provide a plan for the Government Access Channel (GAG) that includes a rebranding effort, the development of new television shows and the establishment of N full twelve-hour pmgramming cycle in just six months, The goal is to make the GAC more informative, educatioiul and beneficial to the people of the Virgin Eslands as more particularly described in Addendum I (Scope ofServices) attached hereto; and WHEREAS, the Contractor was selected in accordance with 31 VJ.C. § 239(aXS) after having surveyed all available talent pool hi the Territory fbr services as a gelevision producer and brand creator acid having Found Contractor as the most capable, qualifil the rnostcxpcricnccd for the pui-poscs herein, including Coni-actor’s familiarity with the Administration and The Governor’s executive team, and having negotiated,the terms of the Contract with the Contractor and WHEREAS, the Contractor represents that it is willing and capable of providing such services; and NOW, THEREFORE, in consideration of the mutual covenants herein contained, and intending to be legally bound by this V.TitICn instrument, the iartics hereto do covenant and agree as follows: 1. SERVICES The Contractor will provide the services described in Addendum I (Scope of Services) attached hereto and made a part ofthis contract, 2. TRAVEL EXPENSES Inclusive ofthe compensation for services as specified in Paravaph 3 (Compensation) above, the Government agrees to pay documented transportatian. subsistence, lodging and other travel expenses. while in travel status, for trips which have been suthorized in wdting, in advance, by the Government These costs shall be advanced or r&rnbursed on the same basis as is applicable to non-contract employees of the Government or as agreed to by an addendum to this Contract. however, said costs and expenses shall not exceed N/K (S N/A), S. STANDARDS The Contractor agrees to maintain the profcssi&nal standards applicable w its profession and to consultants doing business in the United States Virgin Islands. 7. DOCUMENTS, PRINTOUTS, ETC. All documents, books, records, instructional materials, programs, printouts and memoranda oF every description derived therefrom and pertaining to this Contract shall become the property oF the Government and shall be turned over to it at the termination of this Contract. ‘the above described materials shalt not be used by Contractor or by any other person or entity exccpl upon the written permission of the Government. ENTIRE AGREEMENT ThIs agreement constitutes the entire agreement of the parties relating to the subject matter addressed in this Agreement. This agreement supersedes all prior communications, contracts, or agreements between the parties with respect to the subject matter addressed in this agreement. whether written or oral. 15. RIGHT TO WITHHOLI) If work under this Contnict is not performed in accordance with the terms hereof, Government will have the right to withhold out of any payment due to Contractor, such sums as Government may deem ample to protect it against loss or to assure payment of claims arising therefrom, and, at its option, CJovernine may apply tich sums in such manner as Government may deem proper to secure itself or tod Mach claims.
