AMENDMENT NO. 1 (AMENDED ADDENDUM II OF CONTRACT FOR PROFESSIONAL SERVICES AGREEMENT) THIS AGREEMENT made as of the 2 day of Donuans , 2014 in the Territory of the Virgin Islands, by and between the GOVERNMENT of the Virgin Islands, through the DEPARTMENT OF PROPERTY & PROCUREMENT, on behalf of the DEPARTMENT OF PUBLIC WORKS, (hereinafter referred to as “GOVERNMENT”) and WSP USA Inc., formerly known as Parsons Brinckerhoff, Inc. (hereinafter referred to as “CONTRACTOR?”). Both parties witness to being duly authorized to execute this agreement and will attest accordingly when and where necessary. WITNESSETH WHEREAS, pursuant to Contract No. PO32DPWT17 approved by the Governor on December 29, 2016, the GOVERNMENT contracted with CONTRACTOR to provide General Engineering Professional Services; and WHEREAS, the Contract for Professional Services will automatically renew every year, unless terminated in writing by either Party with a 30-day notice; and WHEREAS, the Government desires to increase the maximum compensation payable under the Contract by One Million and 00/100 Dollars ($1,000,000.00) for a new not to exceed amount of One Million Two Hundred Fifty Thousand and 00/100 Dollars ($1,250,000.00); and NOW, THEREFORE, for mutual and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows: TERMS AND CONDITIONS 1. Paragraph No. 3 — Compensation is hereby amended to increase the compensation by One Million and 00/100 Dollars ($1,000,000.00) for a total amount not to exceed One Million Two Hundred Fifty Thousand and 00/100 Dollars ($1,250,000.00) by deleting all of the existing language contained therein and replacing it with new language as follows: “The Government, in consideration of the satisfactory performance of the services described in Addendum I (Scope of Work) agrees to pay Contractor the sum not to exceed One Million Two Hundred Fifty Thousand and 00/100 Dollars ($1,250,000.00) in accordance with the provisions set forth in Amendment No. 1 (Amended Addendum II) attached hereto and made a part of this Contract.” 2. Addendum II of the Contract is revised by deleting all terms contained therein and inserting in lieu thereof all terms contained in the Amendment No. | (Amended Addendum II) hereto as Exhibit “A”. 3. This Amendment of the Professional Services Agreement is subject to the approval of the Governor of the Virgin Islands.
