1 Contract No. Initials: AMENDMENT No. TWO (2) OF PROFESSIONAL SERVICES CONTRACT THIS AMENDMENT made as of the ______ day of _________________, 20____ in the Territory of the Virgin Islands, by and between the Government of the Virgin Islands DEPARTMENT OF PROPERTY AND PROCUREMENT, on behalf of the BUREAU OF INFORMATION TECHNOLOGY (hereinafter referred to as “Government”) and PiTech Solutions, Inc. whose address is P.O. Box 14586 Durham, NC 27709 (hereinafter referred to as “Contractor”). Both parties witness to being duly authorized to execute this agreement and will attest accordingly when and where necessary. WITNESSETH WHEREAS, pursuant to Contract No. P016BITT20 approved by the Commissioner of Property and Procurement on January 27, 2020, and its Amendment No. 1 pursuant to Contract No. P066BITT20 approved by the Commissioner of Property and Procurement on June 25, 2020, (which constitute and are hereinafter referred to as the “Contract”), the Government contracted with Contractor to conduct an IT assessment across the Territory to include St. Croix, St. Thomas and St. John, conduct an inventory of Hardware and Software across the Territory, and develop a future state recommendation in the form of an Enterprise Design Document; and WHEREAS, the Contract expires pursuant to its terms on December 22, 2020; and WHEREAS, the parties desire to amend the Contract, to extend its term by one hundred twenty (120) days, to change the provisions in Addendum I (Scope of Work) to amend the schedule and time frame reference, and to change the provisions in Addendum II (Compensation) to amend the payment plan. WHEREAS, the amendment of the Contract pursuant to this Amendment of Professional Services Contract shall not result in any change to the scope of work provided for under the Contract and shall not require an increase to the compensation originally provided for under the Contract. 9th December 20 P016BITT20 DocuSign Envelope ID: 274F4CBB-E8B8-4F8F-A024-21B345C8A366 17th December 20 P029BITT21 2 Contract No. Initials: NOW THEREFORE, for mutual and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows: TERMS AND CONDITIONS 1. The Contract, is hereby amended and its term extended by one hundred twenty (120) days by deleting all existing language contained in Paragraph 2 and replacing it with language as follows: This Contract shall commence upon execution by the Commissioner of the Department of Property and Procurement and shall terminate four hundred fifty (450) days thereafter. 2. Addenda I and II of the Contract are revised by deleting all terms contained therein and inserting in lieu thereof all of the terms contained in the new Addenda I and II attached hereto as Exhibit “A” and Exhibit “B”. 3. This Amendment is subject to the approval of the Commissioner of Property and Procurement and to the appropriation and availability of funds. 4. Except as expressly amended in this Amendment, all terms of the Contract remain in full force and effect. 5.
