LexisNexis Risk Solutions SCHEDULE A Accurint for Government Dynamic Decision Platform (XML or Online) ThreatMetrix (XML) Customer Name: Virgin Islands Department of Labor Billgroup #: 1844872 LN Account Manager: Tom Tamplin This Schedule A sets forth additional or amended terms and conditions for the use of the Accurint for Government, Dynamic Decision Platform and ThreatMetrix services (%LN Services&), as set forth in the services agreement between Customer and the LexisNexis Risk Solutions entity as further defined therein (%Agreement&), to which this Schedule A is incorporated by reference. For purposes of the Agreement and this Schedule A, all applicable LexisNexis Risk Solutions entities shall be individually and collectively referred to as %LN&. Customer acknowledges that the services provided under this Schedule A are non-FCRA services. 1. SCHEDULE A TERM The term of this Schedule A will be 36 months beginning July 1, 2025 and ending June 30, 2028 (the "Term"). This Schedule A will not renew, provided, however, the parties agree that in the event Customer continues to use the LN Services after the end of the original Schedule A Term and a new Schedule A has not been executed, the Schedule A Term as defined herein shall be extended (%Term Extension&) until such time as a new Schedule A is executed or either party provides at least sixty (60) days9 written notice of termination to the other party. If an account is activated after the first day of a calendar month, charges will not be pro-rated. 2. DYNAMIC DECISION PLATFORM (4DDP5) FEES 2.1 DDP Flat Rate Commitment: Beginning on the effective date hereof, Customer shall pay to LN each 12- month period (%Year&) a flat rate commitment in the amount of $21,328.00 (%DDP Flat Rate Commitment&), which shall be invoiced in equal monthly installments of $1,777.33 per month, in exchange for processing up to the number of input transactions per product per Year (%DDP Annual Contract Limit&) as detailed in the DDP Pricing Table below. Should Customer exceed the DDP Annual Contract Limit for any given product, Customer shall pay to LN the associated overage fee (%DDP Overage Fee&) as detailed in the DDP Pricing Table for each transaction exceeding the DDP Annual Contract Limit. DDP Overage Fees shall be invoiced each month in arrears as the overages are incurred until the beginning of the following Year or this Schedule A terminates, as applicable. Sec. 160.103) or with Electronic Health Records or Patient Health Records (as those terms are defined in 42 U.S.C. Sec. 17921(5), and 42 U.S.C. Sec. 17921(11), respectively). To the extent Customer has a Business Associate Agreement in place with LN, Customer understands and agrees that the Email Risk Assessment service will not be subject to that Business Associate Agreement. 2.4 INSTANTID Q&A RESTRICTIONS: 2.4.1 Customer certifies that it has one or more of the following Gramm-Leach Bliley Act (15 U.S.C. § 6801, et seq.) exceptions for use of the InstantID Q&A services, and that it will use the information obtained from the InstantID Q&A services only for such purposes: 2.4.1.1 To protect against or prevent actual or potential fraud, unauthorized transactions, claims or other liability; and/or 2.4.1.2 In required institutional risk control programs. 2.4.2 Customer further certifies that it has the following Drivers Privacy Protection Act (18 U.S.C. § 2721, et seq.) exception for use of the InstantID Q&A services, and that it will use the information obtained from the InstantID Q&A services only for such purpose: 2.4.2.1 For use in the normal course of business, but only to verify the accuracy of personal information submitted by the individual to the business and if such information as so submitted is not correct, to obtain correct information, but only for the purposes of preventing fraud. THREATMETRIX (4TMX5) FEES 3.1 TMX Flat Rate Commitment: Beginning on the effective date hereof, Customer shall pay to LN each Year the annual subscription fee (%Annual Subscription Fee&) as detailed in the Price Schedule below, in exchange for access to the ThreatMetrix services. The Annual Subscription Fee will be invoiced in equal monthly installments. 3.2 Each TMX transaction should correspond to one of the specified Use Cases detailed below. For each TMX transaction consumed, LN will deduct the Price per Transaction from the Annual Subscription Fee. In the event Customer consumes the Annual Subscription Fee prior to the end of the Year, LN will immediately invoice Customer the remaining amount due for the Annual Subscription Fee. Once Customer consumes the entire Annual Subscription Fee, Customer will pay to LN the Price per Transaction for each TMX transaction in excess of the Annual Subscription Fee, to be invoiced monthly in arrears until the beginning of the following Year or this Schedule A terminates, as applicable. 3.3 Professional Services: Professional Services hours may be purchased for $300 per hour upon request. 3.4 SSL Certificate Hosting: One SSL Certificate Hosting is included in the TMX fees detailed herein. Customer may elect to purchase Additional SSL Certificate Hosting in the future for $1,500.00 per URL each Year upon request. 3.5 Organizational ID: Three Organizational IDs are included in the fees detailed herein. Customer may elect to purchase Additional Organizational IDs in the future for $600.00 per Organizational ID (one-time fee) upon request. Price Schedule Use Case Price per Transaction Annual Subscription Fee New Account Opening $0.550 $5,500.00 Support and Maintenance* *Transactional Fees include Support & Maintenance valued at 20% percent. This itemization is being provided solely for sales tax purposes and will not impact the amount due from Customer Included On Demand Training** **Transactional Fees include Training valued at 2% percent. This itemization is being provided solely for sales tax purposes and will not impact the amount due from Customer. Included SSL Certificate Hosting (one URL)*** ***Transactional Fees include one URL for SSL Certificate Hosting valued at $1,500 per Year. This itemization is being provided solely for sales tax purposes and will not impact the amount due from Customer. Included 3.6 TMX Term Extension Fees: In the event a Term Extension is in effect, Customer shall pay to LN the Total Price per Transaction for each transaction as detailed in the TMX Term Extension Table, which shall be invoiced monthly in arrears, until such time as a new Schedule A is executed or Customer is no longer using the LN Services herein, whichever occurs first. In the event of a Term Extension, Customer shall pay to LN $125.00 per month per additional URL in exchange for the SSL Certificate Hosting. New Accounts Price per Transaction Price per Transaction $0.66 Support & Maintenance $0.132 On Demand Training $0.0132 Total Price per Transaction $0.8052 3.7 Unused ThreatMetrix services: Any unused portion of the Annual Subscription Fee, professional services, training, or other ThreatMetrix services purchased herein will expire at the end of each Year. 3.8 Amounts Payable: Customer agrees to pay LN in accordance with any invoice for the fees set forth above. 3.9 TMX Travel & Expenses: Customer agrees to reimburse LN for travel and expenses for any TMX on-site performance of services. Any TMX travel and expenses will be independent of and are not included in the Non- TMX Travel & Expenses detailed in Section 6 herein. 3.10 TMX Customer Responsibilities: During the Term, Customer will provide the following required data for TMX transactions: O Truth data associated with step-ups and challenges. %Truth data& refers to session identifiers (Request ID or Session ID) of confirmed fraud events, if any, and final outcome of challenges. This is a requirement for properly tuning the system for risk detection and authentication step-up use and avoidance. LN reserves the right to renegotiate in good faith the amounts due under this Schedule A if in any month Customer9s total number of truth data API update transactions is greater than three times the total billable transactions in that month. Truth data may be sent to LN in real-time or in batch files; and O Customer agrees to send to LN the following data fields for each transaction (when available): (1) e-mail address; (2) phone number; (3) billing address; (4) shipping address; and (5) hashed credit card (6) input IP address card (7) transaction amount and (8) zip code. In the event that Customer cannot deliver against the project schedule, or elects to suspend work on any project, LN may not be able to supply the same project resources on resumption or may have to restart the project depending on the elapsed time. 4. ACCURINT FOR GOVERNMENT FEES 4.1 Beginning on the effective date hereof, Customer shall be granted three (3) Accurint for Government User IDs at no additional charge (%Complimentary User IDs&). 4.2 Additional User IDs: Customer may purchase additional Accurint for Government Plus User IDs at $120.00 per month, per User ID (%Additional User Fee&). 4.3 Features Included: All of the searches and reports included in the attached Accurint for Government Price Schedule are referred to as the %Features&. The User IDs include unlimited access to all Features, excluding those Features identified herein as Excluded Features. With the exception of the Complimentary User IDs, Additional User Fees shall be due each month for: (i) any User ID upon which any search occurs during a calendar month; and (ii) any User ID activated on Customer's account which was not used to perform any searches and is not suspended or terminated by the close of business on the last day of any calendar month. 4.4 Premium Feature Included: Customer shall have access to the following Accurint for Government premium feature as part of the Flat Rate Commitment: Real Time Phone Search 4.5 Features Not Included: The following Features (%Excluded Features&) are not included in the User Fees and shall in all cases be charged separately according to the pricing specified in the attached Price Schedule: Bankruptcy Docket Sheet Bankruptcy Documents Business Link Report Canadian Phones Comprehensive Healthcare Business and Provider Report Contact Card Report Court Search Wizard General Contract G035DOLT25 Confidential 515988.3v2 Customized Schedule A Accurint for Government + Dynamic Decision Platform + ThreatMetrix Any unauthorized revisions to this Schedule A by Customer after receipt of the final version from LN shall be considered unenforceable, and may void this Schedule A at the option of LN. NON-TMX TRAVEL & EXPENSES Customer agrees to reimburse LN for travel and expenses for any non-TMX on-site performance of services, not to exceed $43,200.00 per Year. 6. ASSIGNMENT ThreatMetrix, Inc. (%ThreatMetrix&) and LexisNexis Risk Solutions FL Inc. (%LNRS&) are fully owned subsidiaries of RELX Inc. and RELX plc (NYSE:RELX). In the event the Agreement was entered into between Customer and ThreatMetrix, Customer hereby consents to the assignment of the Agreement from ThreatMetrix to LNRS. In the event the Agreement is not with ThreatMetrix, this assignment is not applicable. 7. EXPIRATION Unless otherwise accepted by LN, the terms herein are valid if the Schedule A is signed by the Customer and received by LN on or before June 30, 2025. 8. CLOUD SERVICES LN is executing a multi-year plan to move certain LexisNexis Risk Solutions products and services to a cloud environment. Should you have questions regarding this plan, please direct them to your Account Manager. CONFIDENTIAL INFORMATION This Schedule A contains the confidential pricing information of LN. Customer acknowledges that the disclosure of such pricing information could cause competitive harm to LN, and as such, Customer agrees to maintain this Schedule A in trust and confidence and take reasonable precautions against disclosure to any third party to the extent permitted by local and state law. Notwithstanding anything in the Agreement to the contrary, LN shall own a copy of the data received by LN in connection with the LN Services and LN and its affiliates may process such data to enhance their products and services and for any other purpose consistent with applicable laws, rules and regulations. LN and its affiliates will not identify Customer as the source of such data unless required to do so by law or legal process.
