OPCMR CONTRACT FOR PROFESSIONAL SERVICES 2026 THIS AGREEMENT is made this 20th day of _ March , 2025, in the Territory of the Virgin Islands, by and between the Government of the Virgin Islands, Department of Property and Procurement, on behalf of the Office of Management and Budget (hereinafter referred to as "Government or “GVI") and Ernst & Young Puerto Rico, LLC (hereinafter referred to as "Contractor" or “EY”). The GVI and the Contractor shall be collectively referred to herein as the “Parties”. OPCMR CONTRACT FOR PROFESSIONAL SERVICES 2026 THIS AGREEMENT is made this 20th day of _ March , 2025, in the Territory of the Virgin Islands, by and between the Government of the Virgin Islands, Department of Property and Procurement, on behalf of the Office of Management and Budget (hereinafter referred to as "Government or “GVI") and Ernst & Young Puerto Rico, LLC (hereinafter referred to as "Contractor" or “EY”). The GVI and the Contractor shall be collectively referred to herein as the “Parties”. WITNESSETH: WHEREAS, the Government of the Virgin Islands is still in need of services to efficiently and adequately process and distribute the funds managed by the Office of Management and Budget (OMB), which were received by the Government of the Virgin Islands (GVI) through the Coronavirus Aid, Relief, and Economic Security (CARES) Act (2020), the Coronavirus Response and Consolidate Appropriations Act (2021) and the American Rescue Plan Act (ARPA) (2021), which duties and responsibilities are more particularly described in Addendum I (Scope of Services) attached hereto; and WHEREAS, pursuant to Contract No. POO3O0MBT25 approved by the Governor on December 31, 2024, the Government contracted with Contractor to continue to provide services to efficiently and adequately process and distribute the funds managed by the Office of Management and Budget (OMB); and WHEREAS, the Contract expired pursuant to its terms on December 2, 2025; and WHEREAS, the completion of the close-out process and deliverables within the terms of Contract No. POOSOMBT25 had been impacted and delayed by the Federal Government shutdown of October 1, 2025 through November 12, 2025; and WHEREAS, the Government seeks to continue to receive the services from the Contractor to adequately close-out ARPA Grant administrative assistance being provided and transition applicable duties and tasks performed to GVI staff; and WHEREAS, funding obligation was encumbered in the amount of One Million, Three Hundred Sixty-seven Thousand, Three Hundred-Twelve and 00/100 Dollars ($1,367,3 12.00), the total not to exceed compensation value of Contract No. POO8OMBT25, attached hereto for reference and made a part of this contract; and WHEREAS, Contractor submitted invoice payment requests for services rendered as of November 30, 2025, in the amount of Nine Hundred Sixty-Two Thousand, Seven Dollars and Ninety- Four Cents ($962,007.94), resulting in a contract value remaining of Four Hundred- Five Thousand, Three Hundred Four Dollars and Six Cents ($405,304.06) to be covered under purchase order number 1561, dated December 30, 2024; and Contract No. PO-26-210-2101-1263 Contractor’s knital A
